1. Acceptance of Terms
By accessing and using Dev On Demand's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
These Terms of Service ("Terms") govern your use of our services operated by Dev On Demand ("us", "we", or "our"). We are your dedicated developer, on demand, helping you skip the hiring hassle and get skilled developers who become an extension of your team.
2. Service Description
Dev On Demand provides on-demand development services through hourly packages. Our services include:
- Frontend and backend development services
- Mobile application development
- API development and integration
- Database design and optimization
- DevOps and cloud infrastructure services
- Code review and optimization
- Technical consultation and project management
- Landing page development
- E-commerce platform development
3. Service Packages and Payment
3.1 Package Structure
Our services are sold in hourly packages with predetermined validity periods. Package details including hours, pricing, and validity are clearly outlined at the time of purchase.
3.2 Payment Terms
- Payment is required in full before service commencement
- All prices are in AUD unless otherwise specified
- Payments are processed through secure third-party payment processors
- No refunds are provided after the 7-day money-back guarantee period
3.3 Hour Usage and Validity
- Purchased hours must be used within the package validity period
- Unused hours can be banked for the next month (for subscription packages)
- Hours are tracked in 15-minute increments
- Additional hours can be purchased at any time
4. Client Responsibilities
As a client, you agree to:
- Provide clear and timely project requirements and specifications
- Supply necessary access credentials, accounts, and resources promptly
- Respond to developer communications within reasonable timeframes
- Review and approve deliverables within agreed-upon timeframes
- Ensure all provided content and materials are legally owned or licensed
- Maintain confidentiality of any proprietary information shared by Dev On Demand
5. Developer Responsibilities
Dev On Demand commits to:
- Assign qualified developers with relevant technical expertise
- Deliver work according to agreed specifications and timelines
- Follow industry best practices for code quality and security
- Provide regular progress updates and transparent communication
- Maintain confidentiality of all client information and projects
- Deliver clean, documented, and maintainable code
- Offer support during the package validity period
6. Intellectual Property Rights
6.1 Client Ownership
All code, designs, and deliverables created specifically for your project become your exclusive intellectual property upon full payment. This includes source code, documentation, and any custom solutions developed.
6.2 Third-Party Components
Open-source libraries, frameworks, and third-party components used in your project remain subject to their respective licenses. We will inform you of any licensing requirements that may affect your use of the final product.
6.3 Dev On Demand Assets
Our proprietary methodologies, tools, and general knowledge remain the intellectual property of Dev On Demand and may be used for other client projects.
7. Confidentiality and Non-Disclosure
Both parties acknowledge that confidential information may be disclosed during the course of our working relationship. We agree to:
- Maintain strict confidentiality of all project-related information
- Not disclose client business information to third parties
- Use confidential information solely for project completion
- Return or destroy confidential materials upon project completion
- Sign additional NDAs when required by specific project needs
8. Quality Assurance and Warranties
8.1 Quality Standards
We warrant that all work will be performed in a professional manner consistent with industry standards and best practices. All code will be tested and reviewed before delivery.
8.2 Bug Fixes and Issues
We will fix bugs and issues in delivered code at no additional charge if they are reported within 30 days of delivery and are due to our coding errors.
8.3 Limitation of Warranties
Except as expressly stated herein, we make no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
9. Limitation of Liability
In no event shall Dev On Demand be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our total liability for any claims arising from or related to this agreement shall not exceed the total amount paid by you for the specific service package in question.
10. Service Modifications and Termination
10.1 Service Changes
We reserve the right to modify or discontinue our services at any time. We will provide reasonable notice of any significant changes that may affect your service.
10.2 Termination Rights
- Either party may terminate the service relationship with 7 days written notice
- We may terminate immediately for breach of these terms
- Unused hours in active packages will be handled according to package terms
- All work completed up to termination will be delivered as agreed
11. Dispute Resolution
11.1 Informal Resolution
We encourage resolving disputes through direct communication. Most issues can be resolved quickly through our support channels.
11.2 Formal Resolution
Any disputes that cannot be resolved informally will be settled through appropriate legal channels in accordance with applicable laws and regulations.
12. Force Majeure
Neither party will be liable for any failure or delay in performance under this agreement due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government regulations.
13. Updates to Terms
We reserve the right to update these Terms of Service at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "last updated" date.
Your continued use of the service after such modifications constitutes acceptance of the updated Terms.
